### 1.  Overview

***

Sol-Incinerator ("Sol-Incinerator," "we," "us," or "our") is operated by Slug Holdings Inc, a Delaware C Corporation. Sol-Incinerator provides a non-custodial software interface available at [sol-incinerator.com](https://sol-incinerator.com) (the "Interface") that enables users to interact with token burn and account cleanup functionality implemented via smart contracts deployed on the Solana blockchain. The Interface is a non-custodial software tool that enables users to construct and submit transactions directly to the Solana blockchain. Users sign all transactions locally in their self-custodied wallets. Sol-Incinerator does not hold, control, or have access to user funds at any time. Certain transactions signed through the Interface or API may be relayed to the Solana network through RPC infrastructure operated or utilized by Sol-Incinerator.

These Terms of Use (the “Terms”) govern your access to and use of the Interface. By accessing, browsing, or otherwise using the Interface, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must not use the Interface.

Your use of the Interface is also governed by our Privacy Policy, available at docs.sol-incinerator.com/legal/privacy-policy, which is incorporated herein by reference. By using the Interface, you acknowledge the Privacy Policy available at docs.sol-incinerator.com/legal/privacy-policy, which governs the collection, use, and sharing of information in connection with your use of the Interface.

### 2.  Eligibility&#x20;

You may use the Interface only if you are legally permitted to do so under all applicable laws and regulations in your jurisdiction. By accessing the Interface, you represent and warrant that:

* You are at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater;
* You are not a citizen, resident, or national of, and are not located in or accessing the Interface from, any jurisdiction subject to comprehensive sanctions, export controls, or trade restrictions imposed by the United States, United Kingdom, European Union, or any other applicable government authority;
* You are not identified on, and are not acting on behalf of any person or entity identified on, any sanctions or restricted party list maintained by any applicable government authority, including without limitation the U.S. Treasury Department’s Office of Foreign Assets Control (OFAC) Specially Designated Nationals and Blocked Persons List or any equivalent list;
* Your use of the Interface does not violate any applicable law, regulation, or these Terms; and
* You have not been previously suspended or removed from accessing the Interface.

We reserve the right to restrict or block access to the Interface at any time, for any reason, at our sole and absolute discretion, without notice or liability. Sol-Incinerator does not perform real-time sanctions screening of wallets or IP addresses. Compliance with applicable sanctions laws is solely your responsibility.

### 3.  Compliance Obligations

You are solely and entirely responsible for compliance with all laws and regulations applicable to your use of the Interface. We have no obligation to inform you of any potential liabilities, legal risks, or regulatory requirements arising from your use. This includes without limitation all applicable anti-money laundering (AML) laws, securities laws, tax laws, and financial services regulations. We are not liable for your failure to comply with any applicable law or regulation.

### 4.  Nature of the Interface and Protocol

The Interface is a non-custodial front-end tool that provides a visual representation of the Protocol. The Interface code, including all software, source code, object code, scripts, tools, and related materials developed by Sol-Incinerator, is proprietary and confidential. No license, right, or interest in the Interface code is granted to any person or entity, whether by implication, estoppel, or otherwise. Any access to the Interface code granted to employees, contractors, vendors, partners, or auditors is subject to confidentiality obligations and does not constitute a license to use, reproduce, modify, or distribute the code for any purpose. The Protocol smart contracts are publicly deployed on the Solana blockchain and their on-chain bytecode and IDL are publicly accessible via Solana RPC methods enabling third-party inspection and integration, but are not licensed for reuse, modification, or redistribution in source or compiled form. Sol-Incinerator may provide access to certain Protocol functionality through a documented application programming interface (the “API”). API access and use is governed by Section 23 of these Terms. Access to the API does not grant any ownership, license, or other rights in or to the underlying Protocol or Interface code beyond those expressly authorized in writing by Sol-Incinerator. Sol-Incinerator does not control, operate, or maintain the Solana blockchain, any validator, or any third-party service integrated with the Interface.

At no time does Sol-Incinerator hold, control, custody, or have access to any digital assets in your wallet. All transactions initiated through the Interface or API are signed locally by the user in their self-custodied wallet. Sol-Incinerator does not execute transactions in a custodial capacity and cannot reverse, cancel, or modify any on-chain transaction once submitted to the Solana network.

You acknowledge and agree that:

* The Interface is not a securities broker, dealer, exchange, investment advisor, financial institution, or money services business;
* The Protocol smart contracts were developed by Sol-Incinerator and deployed on the Solana blockchain in a permissionless manner; following deployment, they execute autonomously. Upgrade authority is held by a multi-signature wallet controlled by Sol-Incinerator’s authorized keyholders. No single party can unilaterally modify the Protocol;
* Sol-Incinerator does not act as an agent, fiduciary, or representative of any user;
* Token burn transactions are irreversible — all burned tokens are permanently and irrecoverably destroyed on-chain;
* Sol-Incinerator does not guarantee that any SOL or other value will be recovered as a result of any burn transaction or token account closure; and
* Sol-Incinerator does not control or guarantee the continued operation, availability, or functionality of the Protocol or the underlying blockchain.

Swap functionality available through the Interface is powered by the Jupiter aggregator protocol, a third-party service operated independently of Sol-Incinerator. Swap transactions are subject to additional risks including slippage, price impact, liquidity constraints, route failures, and third-party smart contract risk. Sol-Incinerator makes no representation regarding swap execution prices, exchange rates, or transaction outcomes. By using the swap feature, you acknowledge that you have reviewed and agree to be bound by Jupiter’s applicable terms of service.

The Protocol smart contracts have not undergone any third-party security audits. They are experimental software. Users and API integrators are strongly encouraged to review the on-chain code and IDL themselves before use. Sol-Incinerator makes no representation or warranty that the Protocol, Interface, or API is free from bugs, exploits, vulnerabilities, or economic attacks.

The Interface does not allow users to configure third-party partner fees directly. However, Interface-built transactions may include one or more of the following: Sol-Incinerator protocol fees, operation-specific service fees or overlays, reward or cashback fees, swap or platform fees, and network or priority fees. The applicable fees for any given transaction are displayed prior to signing. Partner fees may be applied by third-party API integrators building on the Sol-Incinerator API as described in Section 23.5; disclosure of any such fees is solely the integrator’s responsibility.

### 5.  Your Use of the Interface

By accessing or using the Interface, you represent, warrant, and covenant that:

* You understand the inherent risks associated with blockchain-based digital assets, including but not limited to market volatility, smart contract vulnerabilities, network congestion, validator or RPC outages, changes to Solana rent mechanics, token metadata corruption, and the irreversible nature of on-chain transactions;
* You have sufficient knowledge and experience to evaluate the risks of interacting with blockchain-based protocols;
* You are solely responsible for determining, reporting, and paying all taxes applicable to your use of the Interface and any transactions conducted through the Protocol, including without limitation any capital gains, income, or other tax consequences arising from token burns, SOL or lamport recoveries, referral rewards, or protocol fee payments. Sol-Incinerator does not provide tax reporting, withholding, or advisory services of any kind;
* You will not use the Interface to violate any applicable law or regulation, including securities laws, commodities laws, or AML/KYC regulations;
* You will not attempt to circumvent geographic restrictions, sanctions compliance controls, or any other access limitations implemented by Sol-Incinerator;
* You will not engage in any activity that seeks to interfere with, disrupt, or compromise the integrity or security of the Interface or the Protocol; and
* All decisions made in connection with your use of the Interface are solely your own responsibility.

You acknowledge that you have not relied on any representations or statements made by Sol-Incinerator outside of those expressly set forth in these Terms.

Nothing on the Interface constitutes financial, investment, legal, gaming, wagering, or tax advice. You should seek independent professional advice before making any financial or legal decisions.

### 6.  Third-Party Services, Advertising, and Partner Integrations

The Interface may display, integrate with, link to, or redirect you to third-party services and platforms, including without limitation wallet providers, decentralized applications, external protocols, data APIs, third-party gaming advertisers, and partner platforms (collectively, “Third-Party Services”). Third-Party Services may include, without limitation:

* Wallet providers, browser extensions, and wallet connection infrastructure (such as Phantom, Solflare, Backpack, WalletConnect/Reown, or similar);
* Decentralized applications, external blockchain protocols, and token swap aggregators (including the Jupiter aggregator protocol, which powers swap functionality within the Interface);
* Banner advertisements from select third-party gaming advertisers displayed directly within the Interface;
* Partner platforms to which you may be directed following completion of a burn or cleanup transaction, including platforms operated by Sol-Incinerator’s commercial partners; and
* Affiliate services from which Sol-Incinerator may receive compensation.

You acknowledge and agree that:

* Sol-Incinerator does not control, operate, endorse, or assume responsibility for any Third-Party Service;
* Sol-Incinerator may receive compensation from third parties, including advertising fees, referral fees, and affiliate revenue, in connection with your interactions with Third-Party Services. The receipt of such compensation does not constitute an endorsement of any Third-Party Service;
* Any interaction you choose to engage in with a Third-Party Service is entirely at your own risk and is governed solely by the terms and policies of that third party;
* Sol-Incinerator is not responsible for the content, accuracy, availability, privacy practices, security, or outcomes associated with any Third-Party Service; and
* Once you navigate away from the Interface to a Third-Party Service, these Terms no longer govern your activities on that platform. You acknowledge that Third-Party Services may involve additional risks, including financial loss, wagering-related losses, or other adverse outcomes, and that Sol-Incinerator is not responsible for any outcomes resulting from such interactions. Sol-Incinerator does not guarantee the continued availability of any Third-Party Service.

Sol-Incinerator may choose to work with certain third parties but makes no representations or warranties regarding their reliability, reputation, or conduct. Nothing in these Terms shall be deemed to create any partnership, joint venture, agency, or employment relationship between Sol-Incinerator and any third party, including any advertising or commercial partner.

#### 6.1  Gambling-Related Advertising

The Interface may display banner advertisements for third-party online gaming or casino platforms (“Gaming Advertisements”). You acknowledge and agree that:

* Sol-Incinerator does not operate, own, or control any gambling or gaming platform advertised on the Interface;
* Sol-Incinerator does not facilitate, process, or participate in any wagers, bets, deposits, or gambling transactions of any kind;
* All Gaming Advertisements are clearly identified as sponsored third-party content. The display of any Gaming Advertisement does not constitute an endorsement, recommendation, or guarantee by Sol-Incinerator;
* Users interact with any advertised gaming platform entirely at their own discretion and risk, subject solely to that platform’s own terms and conditions;
* Availability of Gaming Advertisements is subject to applicable local laws and regulations. It is your sole responsibility to determine whether accessing or interacting with any Gaming Advertisement is lawful in your jurisdiction;
* Gaming Advertisements are restricted in, and users are prohibited from interacting with them in, jurisdictions where online gambling advertising is prohibited, restricted, or unlicensed. This currently includes (without limitation): the United Kingdom, Germany, Netherlands, Australia, Belgium, China, UAE, Saudi Arabia, Singapore, Indonesia, Italy, France, Spain, Norway, Poland, Canada, India, Brazil, and the following US states: Utah, Hawaii, Washington, California, Texas, and New York. This list is non-exhaustive and may be updated at any time without notice;
* These restrictions apply regardless of whether you are accessing the Interface via VPN or any other means intended to circumvent geographic restrictions. By accessing the Interface, you represent and warrant that you are not located in any such jurisdiction and that viewing or interacting with any Gaming Advertisement does not violate any applicable law in your jurisdiction;
* Sol-Incinerator maintains an evolving jurisdictional compliance policy and reserves the right to restrict or remove Gaming Advertisements in any jurisdiction at any time based on legal, regulatory, or risk considerations; and
* Sol-Incinerator is not responsible for any losses, damages, or adverse outcomes resulting from your use of any advertised gaming platform.

### 7.  Wallet and Security Responsibility

You are solely responsible for the security and integrity of your wallet, including without limitation:

* Safeguarding your private keys, seed phrases, and access credentials;
* Reviewing and approving all transaction details before signing;
* Maintaining the security of your devices and software environment; and
* Protecting yourself against phishing attacks, malicious applications, and social engineering.

Sol-Incinerator has no access to your wallet and cannot recover lost, stolen, or inaccessible digital assets under any circumstances. Sol-Incinerator has no affiliation with, and expressly disclaims all liability for, any wallet provider including without limitation Phantom, Solflare, and Backpack, and is not responsible for any errors, security failures, transaction signing issues, or losses arising from wallet software, browser extensions, or hardware wallet devices. Sol-Incinerator is not responsible for losses arising from compromised wallets, unauthorized transaction approvals, phishing attacks, or any other security failure attributable to your wallet environment or personal security practices.

### 8.  Assumption of Risk

You expressly understand and accept all risks associated with your use of the Interface and the Protocol, including without limitation:

* Smart contract bugs, exploits, or unintended behavior;
* Blockchain network failure, congestion, or degraded performance;
* Validator or RPC node outages;
* Changes to Solana network rent mechanics or protocol-level parameters;
* Token metadata corruption or third-party data inaccuracies;
* Permanent and irrecoverable loss of digital assets;
* Regulatory changes that may affect the legality or utility of the Protocol;
* Market volatility and loss of value of digital assets;
* Swap transaction failures, slippage beyond expected tolerances, adverse price impact, insufficient liquidity, or route failures arising from the use of third-party swap aggregators including Jupiter;
* Losses arising from third-party aggregator failures, including smart contract exploits or outages affecting the Jupiter protocol.

The Interface and Protocol are experimental technologies deployed on a decentralized network. Use is entirely at your own risk. Sol-Incinerator cannot and does not guarantee any particular outcome from your use of the Interface.

### 9.  No Guarantee of Value or Outcomes

***

Sol-Incinerator does not guarantee:

* That any token burn will be executed successfully;
* That any SOL, lamports, or other value will be recovered as a result of any burn or cleanup transaction;
* That estimated values or fee calculations displayed on the Interface are accurate or will reflect actual transaction outcomes; or
* That any transaction submitted through the Interface will be confirmed, processed, or finalized by the Solana network; or
* That any swap transaction will be executed at the displayed price, within expected slippage tolerances, or at all — swap execution prices, exchange rates, and outcomes are determined by third-party aggregator protocols and market conditions outside Sol-Incinerator’s control.

All outcomes depend on blockchain conditions, third-party systems, and factors outside Sol-Incinerator’s control.

### 10.  Fees and Monetization Transparency

Sol-Incinerator generates revenue in connection with the operation of the Interface and the Protocol. You acknowledge that Sol-Incinerator may receive compensation through:

* Protocol-level fees, operation-specific service fees, reward or cashback fees, and swap or platform fees assessed on burn transactions, token account closures, swap operations, and other cleanup operations facilitated through the Interface, including fees assessed on recovered SOL or lamports;
* API access fees from third-party developers and integrators;
* Advertising fees from third-party advertisers whose content is displayed on the Interface;
* Referral fees and affiliate compensation from partner platforms to which users are directed; and
* Other commercial arrangements with third parties.

Fees assessed through the Interface may differ from fees assessed through the API. The applicable fee for any Interface transaction is displayed to the user prior to signing and is deducted from the total reclaimable SOL or lamports returned to the user.

The existence of these commercial relationships is disclosed for transparency purposes. Receipt of compensation from third parties does not constitute an endorsement of any third-party product, service, or platform. Sol-Incinerator operates a user-facing referral program through which eligible users may generate a unique referral link. When a new user accesses the Interface through your referral link and completes a qualifying transaction, the referring user receives twenty percent (20%) of the protocol fees generated by that transaction. Sol-Incinerator reserves the right to modify, suspend, or terminate the referral program at any time, with or without notice. Referral rewards are denominated in SOL and are claimable by the referring user through the rewards section of the Interface. Rewards are non-transferable prior to claim and may be withheld or forfeited if Sol-Incinerator determines, in its sole discretion, that the referral was generated through fraud, manipulation, self-referral, fake accounts, or any other prohibited conduct as described in Section 11. Referral rewards may constitute taxable income in your jurisdiction. You are solely responsible for any applicable tax reporting obligations arising from referral rewards received. Sol-Incinerator makes no guarantee regarding the availability, timing, or continued accrual of referral rewards.

### 11.  Prohibited Conduct

You agree that you will not, directly or indirectly:

* Use the Interface in violation of any applicable law, rule, or regulation;
* Attempt to circumvent access restrictions, sanctions controls, or geographic limitations;
* Interfere with or disrupt the integrity, security, or performance of the Interface or Protocol;
* Exploit vulnerabilities in the Interface, Protocol, or any connected system;
* Use the Interface to facilitate money laundering, terrorist financing, or any other unlawful financial activity;
* Deploy automated scripts, bots, or other tools to interact with the Interface in an unauthorized manner;
* Impersonate any person or entity or misrepresent your affiliation with any person or entity; or
* Abuse the referral program through the use of fake accounts, self-referrals, automated referral generation, or any other fraudulent or manipulative activity.

### 12.  No Fiduciary Duty

To the fullest extent permitted by applicable law, Sol-Incinerator owes no fiduciary duties or obligations to you or any other party. Sol-Incinerator is not your agent, advisor, broker, partner, or representative. The only duties and obligations Sol-Incinerator owes you are those expressly set forth in these Terms. You irrevocably disclaim and waive any claim that Sol-Incinerator owes you any fiduciary duty arising from your use of the Interface or the Protocol.

### 13.  Intellectual Property Rights

Sol-Incinerator owns all intellectual property and other rights in and to the Interface and its contents, including without limitation software, design, text, images, trademarks, service marks, and branding. Nothing in these Terms grants you any intellectual property rights in or to the Interface beyond the limited license expressly set forth below.

Subject to your compliance with these Terms, Sol-Incinerator grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Interface solely for its intended purpose. This license may be revoked at any time, for any reason or no reason, without notice or liability. Use of the Interface for any purpose not expressly permitted by these Terms is strictly prohibited.

Any feedback, suggestions, or other submissions you provide regarding the Interface may be used by Sol-Incinerator at its discretion, without restriction, compensation, or obligation to you. You may not scrape, crawl, frame, mirror, reverse engineer, decompile, disassemble, or create derivative works based on the Interface or the Protocol, or build any competing interface that substantially replicates the functionality or appearance of the Interface.

### 14.  Disclaimers

**THE INTERFACE AND PROTOCOL ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.**

Sol-Incinerator does not represent or warrant that:

* The Interface or Protocol will be available without interruption, error-free, or free from security vulnerabilities;
* Any information displayed through the Interface, including pricing data, token metrics, or estimated recoverable value, is accurate, complete, or current;
* The Protocol will function as intended in all circumstances; or
* Any transaction submitted through the Interface will be confirmed or processed by the Solana network.

Sol-Incinerator is not responsible for losses arising from network congestion, validator downtime, smart contract vulnerabilities, third-party oracle failures, or any other event outside its control.

Sol-Incinerator has no obligation to update, maintain, or support the Interface or Protocol, and may modify, suspend, or discontinue any aspect of the Interface at any time without notice.

### 15.  Limitation of Liability

**TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOL-INCINERATOR AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF FUNDS, LOSS OF DIGITAL ASSETS, FAILED TRANSACTIONS, LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THE INTERFACE OR PROTOCOL.**

**IN NO EVENT SHALL SOL-INCINERATOR’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE INTERFACE OR PROTOCOL EXCEED THE GREATER OF: (I) THE TOTAL FEES PAID BY YOU TO SOL-INCINERATOR IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (II) ONE HUNDRED DOLLARS ($100.00 USD).**

This limitation of liability applies regardless of the legal theory asserted, whether in contract, tort, negligence, strict liability, or otherwise, and even if Sol-Incinerator has been advised of the possibility of such damages. Some jurisdictions do not permit the exclusion or limitation of certain damages; in such jurisdictions, Sol-Incinerator’s liability is limited to the maximum extent permitted by law.

### 16.  Indemnification

You agree to defend, indemnify, and hold harmless Sol-Incinerator and its members, managers, officers, employees, contractors, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

* • Your access to or use of the Interface or Protocol;
* • Your violation of these Terms or any applicable law or regulation;
* • Your infringement of any intellectual property or other rights of any third party;
* • Any transaction you initiate through the Interface; or
* • Any other party’s access to or use of the Interface with your assistance or through any wallet, device, or account you own or control.

### 17.  Arbitration and Dispute Resolution

#### 17.1  Informal Resolution

Before initiating any formal dispute proceeding, you agree to provide Sol-Incinerator written notice of the dispute at <legal@sol-incinerator.com>, describing the nature of the claim and the relief sought. The parties shall attempt in good faith to resolve the dispute informally within thirty (30) days of Sol-Incinerator’s receipt of such notice. If the dispute is not resolved within that period, either party may commence arbitration as set forth below.

#### 17.2  Binding Arbitration

Except as provided in Section 17.5, any dispute, claim, or controversy arising out of or relating to these Terms or your access to or use of the Interface (each, a “Dispute”) shall be resolved exclusively through final and binding individual arbitration rather than in court. You and Sol-Incinerator each waive the right to a trial by jury and the right to have any Dispute resolved by a court.

#### 17.3  No Class Actions

All arbitrations shall be conducted on an individual basis only. You and Sol-Incinerator agree that neither party will initiate, participate in, or seek to consolidate any Dispute as a class action, collective action, or representative proceeding. The arbitrator shall have no authority to consolidate claims or preside over any representative proceeding.

#### 17.4  Arbitration Process and Rules

Any Dispute not resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by these Terms. The seat and place of arbitration shall be the State of Delaware. The arbitration shall be conducted in English. The arbitrator’s decision shall be final and binding, and any award may be entered as a judgment in any court of competent jurisdiction.

Any Dispute must be filed within one (1) year of the date the Dispute arose; otherwise the claim is permanently barred.

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this arbitration agreement, including any claim that all or part of this arbitration agreement is void or voidable.

#### 17.5  Exceptions

Nothing in this Section 17 prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration, or to protect intellectual property rights.

### 18.  Governing Law

These Terms are governed by and shall be construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions. You agree that the Interface shall be deemed to be based solely in Delaware, and that no use of the Interface in any other jurisdiction gives rise to general or specific personal jurisdiction over Sol-Incinerator in any forum outside Delaware.

### 19.  Termination and Access Control

Sol-Incinerator may restrict, suspend, or terminate your access to the Interface at any time, for any reason or no reason, without prior notice or liability to you. Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Sections 12 through 18 and Sections 20 through 23 shall survive any termination of these Terms.

### 20.  Miscellaneous

#### 20.1  Modifications

We may update or modify these Terms at any time by posting the revised version to the Interface with an updated effective date. Revised Terms become effective upon posting. Your continued use of the Interface following such posting constitutes your acceptance of the revised Terms. If you do not agree to revised Terms, your sole remedy is to discontinue use of the Interface.

#### 20.2  Entire Agreement

These Terms constitute the entire agreement between you and Sol-Incinerator with respect to the Interface and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral, relating to the same subject matter.

#### 20.3  Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

#### 20.4  No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future. No waiver of any provision shall be effective unless made in writing.

#### 20.5  Assignment

You may not assign or transfer any of your rights or obligations under these Terms without Sol-Incinerator’s prior written consent. Sol-Incinerator may assign these Terms, in whole or in part, at any time without notice or consent, including in connection with a merger, acquisition, restructuring, or transfer of assets.

#### 20.6  English Language Controls

These Terms are provided in English. In the event of any conflict or ambiguity between the English version and any translation, the English version shall control.

#### 20.7  Electronic Communications

By using the Interface, you consent to receive all communications, agreements, disclosures, and notices from Sol-Incinerator electronically by posting on the Interface. You agree that all such electronic communications satisfy any legal requirement that such communications be in writing. Material changes to these Terms will be posted on the Interface with an updated Last Updated date.

### 23.  API Terms

#### 23.1  Scope and Access

Sol-Incinerator makes available a versioned application programming interface (the “API”) at api.dashboard.sol-incinerator.com, through which developers and integrators may programmatically access Protocol functionality, including facilitating user-initiated burn operations, token account closures, batch transaction preparation, and relay tooling. Use of the API is subject to these Terms. The API documentation available at api.dashboard.sol-incinerator.com (the “API Docs”) is provided for technical reference only. In the event of any conflict or inconsistency between the API Docs and these Terms on matters of legal obligation, privacy, fees, risk, arbitration, liability, or security, these Terms shall control. The API Docs do not constitute a legal agreement and may be updated at any time without notice. No provision of the API Docs shall be deemed to modify, supplement, or supersede these Terms unless expressly incorporated by a separate written agreement authorized by Sol-Incinerator.

#### 23.2  API Key Responsibility

API access requires a valid API key issued by Sol-Incinerator. You are solely responsible for maintaining the confidentiality and security of your API key. All activity conducted under your API key is your responsibility, whether or not authorized by you. You must not share, transfer, or expose your API key to unauthorized parties. Sol-Incinerator may revoke any API key at any time, for any reason, without notice or liability.

#### 23.3  Integrator Obligations — End-User Consent

Certain API operations are flagged as destructive actions (isDestructiveAction: true), including token burns and NFT burns. These operations are irreversible and permanently destroy on-chain assets. If you are an integrator building on the API on behalf of end users, you are solely responsible for:

* Obtaining clear, informed consent from each end user before initiating any destructive operation on their behalf;
* Accurately disclosing to end users the nature, consequences, and irreversibility of any burn or close operation;
* Ensuring end users sign all transactions locally with their own private keys; and
* Complying with all applicable laws governing your use of the API and any services you build on top of it.

Sol-Incinerator is not liable for any loss suffered by end users of integrator-built products arising from failure to obtain consent, misrepresentation of operation outcomes, or any other integrator conduct. Integrators must not represent or imply that they are authorized agents of Sol-Incinerator, or that Sol-Incinerator endorses, sponsors, or is affiliated with their product or service.

#### 23.4  Fee Model

The Protocol assesses a base fee of 200 basis points (2.00%) of reclaimable rent on every burn and close operation. This base fee is deducted automatically on-chain and is non-negotiable. The base fee calculation uses floor arithmetic: fee = floor(reclaimableRent × 200 / 10,000). Additional operation-specific fees may apply depending on transaction type, including reward or cashback fees, swap or platform fees, and service overlays for certain operation paths. All applicable fees for a given transaction are disclosed to the user prior to signing.

#### 23.5  Partner Fee System

API integrators may optionally configure a partner fee by providing a partnerFeeAccount (a valid Solana public key) and a partnerFeeBps value between 0 and 9,800 (0.00%–98.00%). The partner fee is deducted from reclaimable rent in the same on-chain transaction as the protocol fee. Both parameters must be provided together or both omitted. Sol-Incinerator makes no representation regarding the tax or legal treatment of partner fees received by integrators. API integrators who configure a partner fee are solely responsible for disclosing to their end users: (i) the existence and amount of any partner fee applied to transactions; (ii) the net SOL amount the user will receive after all fees; (iii) the irreversible nature of all on-chain transactions; and (iv) their own privacy and data practices governing end-user interactions. Sol-Incinerator bears no disclosure obligation with respect to partner fees set by API integrators.

#### 23.6  Referral Code System

API requests may include a referralCode parameter (2–20 lowercase alphanumeric characters) to attribute a wallet to a referrer. Referrers earn twenty percent (20%) of future protocol fees generated by referred wallets on a lifetime basis. Once a wallet has been attributed to a referral code, it cannot be reassigned to a different code. Referral rewards are claimable at sol-incinerator.com/rewards and are subject to the referral program terms set forth in this Section 10. Sol-Incinerator reserves the right to modify, suspend, or terminate the referral program, or to withhold or reverse referral rewards, in cases of fraud, abuse, violation of these Terms, regulatory or legal requirement, or program termination with reasonable notice.

#### 23.7  Mutual Exclusivity of Partner Fees and Referral Codes

The partner fee system (partnerFeeAccount / partnerFeeBps) and the referral code system (referralCode) are mutually exclusive. API requests that include both will be rejected with a 400 error. Integrators must choose one monetization approach per request.

#### 23.8  Rate Limits

Standard API endpoints are subject to a rate limit of 240 requests per minute per route and identity. Batch endpoints (/batch/close-all and related routes) are subject to a rate limit of 60 requests per minute. Exceeding rate limits will result in a 429 response. Sol-Incinerator reserves the right to modify rate limits at any time without notice.

#### 23.9  AI and Agent Integrations

The API exposes a hosted Model Context Protocol (MCP) server at v2.api.sol-incinerator.com/mcp, enabling AI agents and automated tooling (including Claude and Codex) to invoke burn and close operations as tools. Integrators using AI or agent-based workflows are solely responsible for ensuring that all transactions are signed locally by the wallet owner prior to relay. Sol-Incinerator is not liable for any loss arising from unauthorized or unintended transactions initiated through AI agent integrations. The non-custodial and irreversibility principles set forth in Section 4 apply equally to all API and agent-initiated operations. Use of the MCP Server or any AI tooling does not alter the non-custodial nature of the Protocol — all transactions must still be explicitly signed by the end user’s wallet prior to execution and relay.

#### 23.10  Prohibited API Uses

You may not use the API to:

* Initiate burn or close operations on wallets without the explicit consent of the wallet owner;
* Circumvent rate limits through key rotation, IP cycling, or other means;
* Reverse engineer, scrape, or systematically extract data from the API beyond its intended use;
* Build any service that misrepresents its affiliation with Sol-Incinerator; or
* Violate any applicable law or regulation in connection with API use.

#### 23.11  No Guarantee of API Availability

Sol-Incinerator does not guarantee the availability, uptime, accuracy, or continued operation of the API. The API may be modified, versioned, rate-limited, or discontinued at any time without notice. Legacy API versions (including v1) may be deprecated at Sol-Incinerator’s discretion. Sol-Incinerator is not liable for any loss arising from API downtime, version changes, or deprecation.

#### 23.12  Transaction Relay Services

Transaction relay services provided via the API are offered as a non-custodial convenience only. API integrators may alternatively submit signed transactions directly through their own RPC endpoint. Users remain fully responsible for all transactions signed from their wallet.
